MINUTES OF ANNUAL MEETING

 

October 25, 1996

 

A meeting of the Village Owners Association was held on October 25, 1996 at the lodge at Bolton Valley in Bolton, Vermont. The meeting was chaired by Bob Segersten. The necessary quorum of owners present or by proxy was established, and the following business was conducted:

1. BOLTON VALLEY REPORT

 

Ralph Deslauriers gave an update on Bolton Valley. Negotiations with the new partnership group should be complete within 2-3 weeks. Things are moving along positively, but if for any reason this should not got through, there is a back-up plan for a private investment placement.

 


This summer the emphasis will be on improving the hiking areas, etc. The last couple of summers have shown a 10-15% increase in use of the Nature Center. 400 acres have been sold to The Long Trail which will give our trails access.

 

Ralph's reply to questions regarding use of the World Wide Web was that Bolton Valley has hired a woman previously with Sugarbush who has been designing and working on a Bolton Valley web site. This should be up and running within 2 weeks with daily adjustments made.

 

The topic of the Bolton interchange off Rte. 89 came up. Ralph replied that although federal requirements have been met and approved, and the legislature has given its go ahead and all compliances met, Governor Dean has decertified the project. His reasons appear to be in response to his concern about over development of the 1-89 corridor. Bolton Valley has joined with the Town of Bolton in a lawsuit against the Governor, as a last

resort  effort.    Ralph  asked that the Bolton Valley Homeowners

Associations join in the suit, as the more parties are involved, the greater the chance for success. This would require a financial commitment of $300-500 from each association to be named in the suit.

 

2. MEETING MINUTES

 

Bob Segersten read the minutes of last year's meeting. James Magoon made the motion to accept them. It was seconded by Gerald Curcuru and passed unanimously.

 

A request was made for any outstanding proxies. The proxies were read and a quorum was established.

 

3. FINANCIAL REPORT

 

Lynda DesLauriers, Secretary for the association, reviewed the Income Statement for Fiscal '96 and Balance Sheet.

 

Lynda stated that late payment fees were significantly higher than previous years. A one-bedroom owner is quite behind in association payments which accounts for a majority of the late fees. An assessment for chimney cleaning was not done, but will be done this year.

 

On December 23rd, 1995 there was a sprinkler failure which damaged Units #123, 223, 323. It was acted upon quickly and contained, so the damage was not as extensive as it could have been. In comparison, the sprinkler failure at Sports Club in January completely destroyed 3 units resulting in an insurance claim of $120,000.

 

Twin City Roofing paid the insurance deductible of $500 for damage done to Unit #228 as a result of water damage due to a lack of flashing around a vent pipe. Bob Segersten read a letter

 


statements quarterly instead of monthly, as Trailside does.

 

Kerry McManus apologized for the tone of the letter he sent out to the owners. He said it was misunderstood. His objective was to keep costs down, and he felt that the maintenance contract should be put out to bid. Therefore, he sought a competitive bid from Nelson Chagnon. Kerry stated that his goal was to try to reduce expenses by consolidating total services with the other associations. He never meant to imply that he wanted to reduce services, but simply wanted to get outside bids as a point of comparison. He was assigned by the Village Homeowners Association last year to take on this responsibility, but has found that communication between the associations is too difficult. He asked whether the same    or increased  services  could be done jointly with the other associations.

 

Lynda responded that all of the associations receive the same services, and use the same contract - that they do, if fact, get the financial benefit of consolidation of services between the associations.

 

Joe Karievis suggested that in the future, a set of specifications be determined for required services in order to obtain a true comparative bid.

 

Bob Segersten said that all the associations have the same interests, and suggested that a central committee made up of association presidents and/or directors be formed to meet once a year to discuss common interests and to share information. Currently the associations have little awareness of what takes place in the other associations, and the problems they have encountered and how they dealt with them. Lynda mentioned that in years past, there was an Owner's Weekend in the summer

including a poolside barbecue, and maybe this idea could be

resurrected.

 

James Magoon mentioned that the owners very rarely hear about the

success   stories,  only   problems.       He    feels    that  better

communication would be advantageous to both Trailside and the owners, perhaps in the form of newsletters done more often and in more depth.

 

Lynda reviewed the new Management and Maintenance Contract. The

fees for interior labor in excess of 2 hours per call, and for special projects,     will increase from $20/hour to  $24/hour(Courtside fees went up last year). This contract still includes the 2 hours free labor per maintenance call. The schedule of services in this contract is more detailed than in the previous outline of work to more clearly define the services being provided. However, painting of the ramps and outside stairs is not included, and it was in the past.

 

Joe Karievis suggested that the Maintenance and Management Contract be signed for a 1 year term rather than 3 years.

 


James Magoon made a motion to allocate funds for this project from the 5-year special assessment so it can be paid for now and increases can be deferred. Andy Peterson seconded the motion and it was approved unanimously.

 

6. ELECTION OF DIRECTORS

 

Bob Segersten thanked James Magoon for serving for the past 3 years as a director. Kerry McManus nominated James Magoon to serve another 3 year term. Joe Karievis seconded the nomination and Jim was approved unanimously.
